License Agreement

NOTICE TO USERS: PLEASE READ THIS AGREEMENT BEFORE INSTALLING THE SOFTWARE PRODUCT DESCRIBED BELOW (hereinafter called the "SOFTWARE PRODUCT"). The SOFTWARE PRODUCT is proprietary of NEC Solution Innovators, Ltd. (hereinafter called "NES") or third party from whom NES has obtained rights and legally protected under the laws and international copyright treaties. This License Agreement (this "Agreement") is a legally binding contract between you (either an individual or a single entity) and NES regarding the SOFTWARE PRODUCT. Please read this Agreement carefully, and if you do not agree to all of the terms of this Agreement, do not install the SOFTWARE PRODUCT. By installing the SOFTWARE PRODUCT, it is deemed that you agree to all of the terms of this Agreement, and that this Agreement legally binds you and NES. The SOFTWARE PRODUCT includes computer software and printed materials (documents such as manuals).
1. Grant of License
1-1 Software
Name of Software Product: EMIStream Extension for Altium Designer (EMI Design Rule Checker / Plane Resonance Analyzer)
1-2 Type of license
NES grants you to a non-exclusive, non-transferable right to use all and a part of the SOFTWARE PRODUCT as follows which is distributed directly or indirectly through Distributor to you.
(1) Node lock license: If you have a Node lock license for the SOFTWARE PRODUCT, NES grants you to a non-exclusive, non-transferable right to use the SOFTWARE PRODUCT only on specified computer hardware. And you can copy the SOFTWARE PRODUCT solely for the purpose of backup or archive.
1-3 License Key
NES provides the License Key which enables you to use the SOFTWEARE PRODUCT on your computer (hereinafter called “License Key”), through Distributer which is designated by NES (hereinafter called “DISTRIBUTER”). You may not use the SOFTWERE PRODUCT and shall delete the SOFTWERE PRODUCT on your computer after the expire term of the License Key unless you buy another License Key from DISTRIBUTER.
1-4 Support Service
NES provides you support service for the SOFTWERE PRODUCT as follows, thorough DISTRIBUTER unless otherwise contracts or arrangement between you and DISTRIBUTER.
(1) To reply through e-mail to usage and technical inquiries made by you about the SOFTWERE PRODUCT
(2) To provide bug-fixed software (not including installation of such software); and
(3) To provide information with respect to the usage of the SOFTWARE PRODUCT
1-5 Upgrade
If the SOFTWARE PRODUCT is upgraded from or updated to another version, you agree to use the upgraded or updated SOFTWARE PRODUCT only in accordance with this Agreement.
2. Restrictions
2-1 Reverse Engineering, Decompiling or Disassembling
You shall not reverse-engineer, decompile or disassemble the SOFTWARE PRODUCT.
2-2 Separation of Component Parts
The SOFTWARE PRODUCT is licensed to you as a single product. You shall not separate the SOFTWARE PRODUCT into component parts for use on several computers.
2-3 Assignment of the SOFTWARE PRODUCT
You shall not assign, transfer or sublicense to any third party or otherwise dispose of the SOFTWARE PRODUCT and the right thereof.
2-4 Copyrights
NES owns copyrights and other intellectual property rights to the SOFTWARE PRODUCT. This Agreement does not transfer any intellectual property right concerning the SOFTWARE PRODUCT to you.
2-5 Export
You shall not export the SOFTWARE PRODUCT in any manner. Your obligation under this section will survive and continue after any termination or revocation of rights hereunder.
2-6 Un-authorized use
You agree that the SOFTWARE PRODUCT licensed under this Agreement shall not be used, sold, and/or otherwise disposed of for the development, manufacture or use of weapons of mass destruction, for any purposes that might disrupt world peace of security, or for use in or as any other type of weapons. Should NOT the SOFTWARE PRODUCT be used for the development of manufacturing of weapons of mass destruction or for any other weapons, NES shall have the right to immediately terminate this Agreement, disclaiming all liability on the part of NES, and you shall indemnify NES for all the damages and losses of any nature caused by or arising out of such breach of this Agreement on the part of you.
3. Confidentiality
3-1 For the purpose of this Agreement, Confidential Information means any information which is disclosed by NES to you intangible material conspicuously marked as confidential, or which is disclosed by NES to you in electronic form conspicuously marked as confidential, or which is disclosed by NES to you orally or visually and designated as confidential at the time of such oral or visual disclosure and is summarized in writing or electronic form conspicuously marked as confidential and sent to you within thirty (30) days after such disclosure, and you agree to keep such Confidential Information in confidence and not to disclose the same to any third party. You further agree not to use such Confidential Information for any purpose other than the purpose of this Agreement, without the prior written approval of NES.
3-2 The restrictions on use and disclosure of Confidential Information as described in Section 3-1 above shall not apply to any information which:
(1) is or becomes available to the public through no fault of you;
(2) is known by you prior to its receipt from NES;
(3) is legitimately obtained by you from a third party without any confidentiality obligation; or
(4) is at any time developed by you independently without having relied on NES’s Confidential Information
3-3 Notwithstanding the first sentence of Section 3-1 above, for the purpose of this Section 3, you hereby acknowledge that the source codes of the Licensed Program shall be deemed NES's Confidential Information.
4. Scope of Warranty
The SOFTWARE PRODUCT is sold AS IS WITHOUT WARRANTY, EXPRESS OR IMPLIED AS TO PERFORMANCE, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. If the computer software does not perform substantially in accordance with the accompanying manual or if there is any defect in the media and the manual or other printed materials, NES will, as your sole and exclusive remedy regarding the SOFTWARE PRODUCT, repair or replace the defective SOFTWARE PRODUCT.
5. Limitation of Liability
IN NO EVENT WILL NES BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR ECONOMIC DAMAGES REGARDLESS OF THE THEORY OF LIABILITY OR FOR ANY LOST REVENUE, PROFIT OR DATA.
6. Termination
NES reserves the right to terminate your rights under this Agreement and to seek any other legal remedies upon default by you of any provisions of this Agreement and, in the event of such a termination, you agree to return the SOFTWARE PRODUCT to NES or to delete all copies of the PRODUCT in your possession or under your control. Additionally, NES will not return you any fee you paid.
7. Severability
Whenever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law. In the event that any provision of this Agreement shall be held invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect other provisions hereof, which shall remain in force unless such partial nullity changes the major conditions of this Agreement.
8. Governing Laws
The validity and construction of this Agreement shall be governed by the laws of Japan.
9. Arbitration
Any dispute, controversy or claim arising out of or relating to this Agreement shall be finally settled by arbitration in Tokyo, Japan under the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The arbitration shall be conducted in the Japanese language. The number of arbitrators shall be three (3) and they shall be appointed in accordance with the said rules. The award of the arbitration shall be final and binding upon the parties hereto and shall not be subject to appeal to any court, and may be entered in any court of competent jurisdiction for execution forthwith. In the event that a party brings legal action against the other party to enforce the terms of this Agreement, the prevailing party shall be entitled to recover reasonable attorneys, fee and expenses for any proceeding, at or before trial and upon appeal, in addition to any other relief deemed appropriate by the court.
10. Audit
NES and the third party designated by NES (including but not limited to DISTRIBUTRER) may audit such record or the use of the SOFTWARE PRODUCT during regular business hours to confirm your compliance with its obligation hereunder. You shall promptly correct any deficiencies discovered by such audit.
11. Entire Agreement
This Agreement constitutes the entire agreement between you and NES with respect to use of the SOFTWARE PRODUCT, and supersedes all prior or contemporaneous understanding or agreements, written or oral, regarding such subject matter. This Agreement may not be modified.

    You may be contacted by NEC, an NEC Group company, or an NEC distributor. Whether a reply comes by letter or phone depends on the contents of your inquiry. You should understand there might be times when we cannot comply with a request. Inquiries made on Saturday, Sunday, public holidays, or times outside NEC’s normal business hours will be handled on the following business day. (Normal business hours are Monday through Friday from 8:30 a.m. to 5:15 p.m.)
  13. Reproduction and Secondary Use of Email Reponses
    We ask that you refrain from reprinting, reproducing, or using for a second time any part of an email response sent to you, as these emails are intended to be viewed only by their recipient.
  14. Parental Consent
    If you are under the age of 16, please make your inquiry ONLY AFTER obtaining consent given or authorized by the holder of parental responsibility over you.
